Antitrust & Competition Law in Kazakhstan
Bond Stone advises on competition law in Kazakhstan: anti-competitive agreements, abuse of dominant position, merger control filings with the Agency for Protection and Development of Competition (APDC), EAEU cross-border competition matters, unfair competition, and competition compliance programmes. The practice is led by Alexandr Satidi, Partner, with over 20 years of Kazakhstan market experience. Ranked Legal 500 EMEA and IFLR1000.
Kazakhstan’s competition law framework — established under Section 4 of the Entrepreneurial Code (Law No. 375-V, 29 October 2015) — regulates anti-competitive conduct, economic concentrations, abuse of dominance, and unfair competition across all sectors. The APDC has broad investigative and enforcement powers, including the ability to impose fines, order behavioural remedies, and apply to the court to invalidate a concentration completed without required consent where it led to a monopoly position or restricted competition. For international investors, the most frequently missed obligations are the pre-transaction merger control filing and the prohibition on gun-jumping. The rules can reach deals outside Kazakhstan that affect assets, shares or rights there.

Competition Law Services in Kazakhstan
Merger Control — APDC Filings
Applications for the APDC’s prior consent where deal thresholds are met — threshold analysis, pre-filing consultation, full application preparation, market definition analysis, and management of APDC communication through to clearance. Bond Stone manages APDC filings as part of the overall M&A transaction timetable.
Anti-Competitive Agreements & Cartels
Advising on prohibited horizontal agreements — price-fixing, market division, bid rigging, and output restrictions. Vertical agreement compliance — distribution arrangements, exclusive dealing, resale price maintenance, and territorial restrictions. APDC investigation response and leniency application strategy where applicable.
Abuse of Dominant Position
Advising companies with significant market share on dominance thresholds (35%+ for a single entity on further criteria, 50%+ without them; collective dominance at 50%+ for up to three entities or 70%+ for up to four where further market criteria are met, and never for a share of 15% or less; Entrepreneurial Code, Art. 172), prohibited conduct under the Entrepreneurial Code — predatory pricing, discriminatory terms, refusal to deal, margin squeeze — and APDC dominance investigation response.
EAEU / Eurasian Economic Commission
There is no merger filing with the Eurasian Economic Commission (EEC). Under Article 75(4) of the Treaty on the Eurasian Economic Union, each member state (Kazakhstan, Russia, Belarus, Armenia, Kyrgyzstan) controls economic concentration under its own law, so a cross-border deal may need a separate filing in each state whose thresholds are met. The EEC acts on breaches of the general competition rules on cross-border markets (Article 76). Bond Stone advises on the interaction between APDC and EEC jurisdiction and filing strategy for multi-country transactions.
Gun-Jumping & Pre-Closing Compliance
Kazakhstan operates a pre-closing merger control regime for mergers and for acquisitions of more than 50% of voting shares — where the thresholds are met, APDC consent must be obtained before the transaction closes. A concentration without required consent is an administrative offence under Article 161 of the Code on Administrative Offences. Bond Stone advises on pre-closing covenants, information exchange protocols, and standstill obligations from signing through clearance.
Unfair Competition
Advising on unfair competition claims and defences under the Entrepreneurial Code — misleading advertising, misappropriation of trade secrets, copying of trade dress, and abuse of comparative advertising. APDC unfair competition investigation response.
Competition Compliance Programmes
Designing and implementing competition law compliance programmes for Kazakhstani subsidiaries of international groups — compliance policies, staff training, distribution agreement review, and dominance monitoring.
APDC Investigation Response
Representing clients in APDC investigations — dawn raids, information requests, investigation response strategy, submissions to the APDC, and appeal of APDC decisions before the administrative courts.
