Business Formation & Company Registration in Kyrgyzstan

Bond Stone advises international investors on business formation and company registration in Kyrgyzstan: LLC incorporation, branch and representative office registration, sector licensing, corporate changes and post-registration compliance. Bond Stone’s Bishkek office is led by Karym Salamatov, Managing Director.

A foreign company or individual may own all of a Kyrgyz limited liability company (LLC), which may have a single member. Neither the Civil Code nor the Law on Business Partnerships and Companies sets a minimum charter capital for an LLC, but the capital stated by the founders must be paid in full within the first year after registration. The Ministry of Justice registers an LLC in 3 working days, and a branch or representative office of a foreign organisation in 5 working days. Registration works on a one-stop basis: the company is registered at the same time with the tax authority, the statistics authority and the Social Fund. Kyrgyzstan is a member of the Eurasian Economic Union (EAEU), with Armenia, Belarus, Kazakhstan and Russia.

The usual vehicle for foreign investors is the LLC, governed by the Civil Code and Law No. 60 of 15 November 1996 on Business Partnerships and Companies. The registration procedure is set by the Regulation on State Registration of Legal Entities, Branches and Representative Offices approved by Cabinet Resolution No. 257 of 17 April 2026. Bond Stone’s Bishkek office handles registration from structuring and founding documents through to bank account opening and sector licensing, in Kyrgyz and Russian, with English reporting to parent companies.

Primary authority: Civil Code Part I No. 15 of 8 May 1996 (Arts. 90, 128, 130); Law No. 60 on Business Partnerships and Companies (Art. 3); Regulation on State Registration, Cabinet Resolution No. 257 of 17 April 2026; Law No. 195 of 19 October 2013 on the Licensing and Permit System. Business Formation Services in Kyrgyzstan

LLC Registration

Entity structuring advice, the founders’ decision on incorporation, power of attorney for a local representative, filing with the Ministry of Justice and entry in the state register. The founders’ decision states the company name, address, founders, charter capital and shares, the head of the executive body and each beneficial owner, and the signature of each individual founder is notarised (Registration Regulation, paras. 67–68). The charter is not filed: companies other than financial institutions operate on model charters approved by the registration authority (paras. 15–16). Foreign-language documents need a notarised translation into the state or official language (para. 44). The application may be filed by a representative under a power of attorney, and registration may be carried out in digital form (paras. 8–9). No statutory minimum charter capital for an LLC (Civil Code, Art. 130).

Registration: 3 working days via the Ministry of Justice (Registration Regulation, para. 18)

Branch & Representative Office Registration

Neither a branch nor a representative office is a legal entity. A representative office represents and protects the interests of its parent and makes transactions and other legal acts in its name; a branch carries out all or part of the parent’s functions, including representation. The parent appoints the head, who acts under its power of attorney (Civil Code, Art. 90). Both are registered, not accredited, with the Ministry of Justice. The filing includes the parent’s decision to open the office, the approved regulation on the branch or office and copies of the parent’s constituent documents (Registration Regulation, paras. 95–97). A foreign head who will work in Kyrgyzstan needs work authorisation unless an EAEU national; see Employment and Work Permits in Kyrgyzstan.

Registration: 5 working days via the Ministry of Justice (Registration Regulation, para. 19)

Entity Structure Advisory

Advising foreign investors on entity selection for market entry in Kyrgyzstan: LLC, branch, representative office, or a joint stock company for larger enterprises. This covers EAEU membership, the choice of tax regime (10% profit tax under the general regime, or the single tax, mostly at 0.5% to 6% depending on activity; see Tax in Kyrgyzstan), sector licensing, and holding structures where the Kyrgyz company sits below a Kazakhstan or AIFC holding entity. Group structures should also be checked against Civil Code Article 128(2), which limits single-member companies owned by other single-member companies; see Company Law and M&A in Kyrgyzstan.

Sector Licensing & Regulatory Approvals

The Law on the Licensing and Permit System sets an exhaustive list of licences and permits (Art. 2(2)) and the activities that need a licence (Art. 15), such as electricity generation and supply. The licensing authority decides within 30 calendar days of a complete application, and if it does not notify a refusal in time the licence is generally deemed issued (Art. 20(1), (5)). A licence cannot be transferred to another person (Art. 10(1)). Banks, other financial institutions and other persons regulated by the National Bank are licensed under the banking and National Bank legislation (Art. 2(4)). A company’s capacity to carry on a licensed activity arises only when it obtains the licence, not on registration (Registration Regulation, para. 26). Bond Stone advises on licence requirements for the proposed activity, application preparation and engagement with the licensing authority.

Corporate Changes & Restructuring

Director changes, participant changes, charter capital changes, registered address changes, share transfers and voluntary dissolution. A change in participants, shares, charter capital or name requires re-registration, and the documents must be filed within 30 calendar days of the decision (Registration Regulation, paras. 72–73). Re-registration also takes 3 working days, and registration of the termination of a legal entity 5 working days (paras. 18, 21). Bond Stone manages corporate change registrations for existing Kyrgyz entities as part of corporate secretarial and compliance work for international investors.

IFI-Financed Project Entity Structuring

Projects in Kyrgyzstan financed by international financial institutions such as the World Bank, ADB, IFC, EBRD and KfW Development Bank need an entity structure that meets the lender’s environmental and social safeguard requirements, procurement rules and financial covenants alongside Kyrgyz corporate law.
